Terms of Service
These Terms of Service ("Terms") are a legal agreement between you and Phoeline ("Phoeline," "we," "us") governing your use of phoeline.com and the Phoeline mobile application (collectively, the "Service"). By creating an account or using the Service you agree to these Terms.
1. Eligibility
You must be at least 18 years old to use the Service. By using the Service you represent that you meet this requirement and that you have the legal capacity to enter into this agreement.
2. The Service in plain language
Phoeline is a marketplace where independent manifestation and visualization coaches ("Creators") train an AI clone of themselves so their fans ("Fans") can receive a daily ritual: a voice memo at dawn, an affirmation at midday, a reflection prompt at night, a written check-in each week, and one real live group call per month.
Messages and audio produced by the clone are generated by AI and labeled as such. They reflect the Creator's style with the Creator's consent but are not statements made personally by the Creator.
3. Account and security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us at hello@phoeline.com if you suspect unauthorized access. We may suspend or close accounts that violate these Terms.
4. Subscription, billing, and cancellation
- The Phoeline Fan subscription is US $19.99 per month, billed through Apple App Store or Google Play.
- Subscriptions auto-renew until cancelled. Manage or cancel renewals in your App Store or Google Play subscription settings.
- Refund eligibility is governed by the rules of the platform that processed your payment (Apple or Google). Phoeline cannot refund payments processed by those platforms.
- We reserve the right to change pricing with at least thirty (30) days' advance notice. Changes apply to renewals occurring after the notice period.
5. Acceptable use
You agree not to:
- Use the Service in violation of any law or third-party right.
- Attempt to extract, scrape, or republish Creator content, the AI clone, or training data.
- Submit content that is unlawful, harassing, defamatory, sexually explicit, that targets minors, or that solicits any crime.
- Attempt to jailbreak, prompt-inject, or otherwise bypass safety filters, including attempts to make a clone produce content the Creator did not authorize.
- Reverse engineer, decompile, or interfere with the Service except where applicable law expressly permits.
- Resell, share, or transfer your account.
6. Creator clones and AI-generated content
Each Creator clone is built only after the Creator signs a written agreement and records a video consent statement. Creators retain ownership of their underlying voice and teaching material; Phoeline holds a license to operate the clone solely while the Creator's agreement is in force.
Not professional advice. Phoeline is a wellness and self-reflection product, not a substitute for licensed medical, mental health, financial, legal, or spiritual counseling. The Service is not designed to handle medical emergencies or crisis situations. If you are in crisis, contact local emergency services or a qualified professional immediately.
7. Safety and moderation
We screen messages and clone responses with automated and, where necessary, human review. Content that violates these Terms or applicable law may be removed and the responsible account may be suspended. We may report unlawful conduct to authorities as required by law.
8. Intellectual property
Phoeline and its trademarks, logos, and software are owned by Phoeline and protected by intellectual property laws. We grant you a personal, non-transferable, revocable license to use the Service while these Terms are in force. We do not transfer any other rights.
Content you submit (reflections, voice memos, settings) remains yours. You grant Phoeline a limited license to host and process that content as needed to deliver the Service. See the Privacy Policy for details.
9. Creator terms
If you are a Creator, the Creator Agreement you sign with Phoeline supplements these Terms and governs your revenue share, payouts, content rights, and termination. The Creator revenue share is 70% of net subscription revenue after platform fees, paid monthly via Stripe Connect.
10. Termination
You may stop using the Service at any time and delete your account from app settings or by emailing hello@phoeline.com. We may suspend or terminate access for material breach of these Terms, for harm to other users, or where required by law. Sections that by their nature should survive (intellectual property, disclaimers, limits of liability, dispute resolution) will survive termination.
11. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Phoeline disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI-generated content will be accurate, reliable, or suitable for any specific outcome.
12. Limitation of liability
To the maximum extent permitted by law, Phoeline's aggregate liability for any claim arising out of or relating to the Service shall not exceed the amount you paid Phoeline in the twelve (12) months preceding the claim, or US $100, whichever is greater. Phoeline is not liable for indirect, incidental, special, consequential, or punitive damages.
13. Indemnification
You agree to indemnify and hold Phoeline harmless from any claim arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts of law principles. Disputes will be resolved by binding individual arbitration in Delaware under the rules of the American Arbitration Association, except that either party may bring a claim in small-claims court where eligible. You waive any right to participate in a class action.
Note: this governing-law and dispute-resolution section is a working draft and will be finalized with counsel. Local law may grant you rights that cannot be waived.
15. Changes to these Terms
We may update these Terms. Material changes will be announced in the app or by email at least thirty (30) days before they take effect. Continued use after the effective date constitutes acceptance.
